Terms & Service

I. Pricing

1. Fees

a. Payment is required within 15 days of receiving each invoice.

b. If an invoice is not paid within 60 days of the invoice date, interest will accrue at a rate of 1.5% per month.

c. The Retainer must be paid immediately after signing the contract. If the Retainer is not paid before the first shoot or edit day, the contract may be voided with written notice from the Contractor.

d. 50% of the Retainer is non-refundable. Within 7 days of the agreed start date, the Retainer becomes 75% non-refundable, and within 48 hours of the start date, it becomes 100% non-refundable.

e. If the Client requests changes to the completed project, script, storyboard, or work in progress that incur additional time or costs, these will be billed according to the terms of this Agreement. Any changes requested, or requests outside the scope of this Agreement after the final product has been delivered will be charged at $120/hour, with a 2-hour minimum.

2. User License

a. The Client is granted the right to use the final delivered products for promotion across the following mediums (non-applicable usage should be crossed out): Social Media; Web Advertisements; displays in local venues or within their own company, both online and offline, via print, digital display, or otherwise; in offline media or print to be used publicly such as magazines or posters or billboards, etc.; for radio broadcasting or television; display as advertisement in cinemas or other public places such as malls, buses, airplanes etc.; to sell or rent to third parties.

b. The Contractor retains sole ownership of all deliverables and raw footage.

II. Terms and Conditions

1. Creative

The Client acknowledges familiarity with the Contractor’s portfolio and understands that the Contractor’s work is unique and artistic. The Contractor’s style may evolve, and the final video may differ from past works. The Contractor will use his creative judgment to produce a video with a collaboration with the Client in mind. The final product will not be subject to rejection based on taste or aesthetic criteria.

2. Liability

If the Contractor cannot fulfill the terms of this agreement due to events beyond his control (e.g., illness, accident, acts of God, unforeseeable equipment failure), the Contractor’s liability is limited to a refund of all monies received.

3. Governing Law

This Contract will be governed by the laws of the State of Colorado, without regard to its conflict of law provisions.

4. Collection Costs

The Client agrees to pay all reasonable attorney’s fees and other costs if the account is placed with an attorney for collection.

5. Rights to Terminate

a. The Client may terminate this contract for any reason up to the date of the first shoot or edit day, whichever comes first, with written notice to the Contractor. If the Client terminates after the first shoot or edit day, all completed work must be paid for within 15 business days of invoice submission.

b. The Contractor may terminate this contract for any reason before the first shoot day without liability, with written notice to the Client. If the Contractor terminates before the first shoot or edit day, any monies received will be reimbursed to the Client.

c. Any provisions in this Contract that imply their survival will remain in effect after termination or expiration of this Contract.
